Terms & Conditions

When purhcasing a Ticket to an event the following Terms and Conditions Apply:

DEFINITIONS

Event:                                                  means an Upton Country Park event as advertised.

Event Management Company:           means any third party used by Upton Country Park to assist, organise or manage the Event.

Order Fee:                                           means any additional charges made at the time of purchase relating to handling / delivery / transaction fees.

Terms and Conditions                        means this document.

Ticket Price:                                        means the face value of the ticket purchased.

We/ Us / Our:                                      means Upton Country Park.

You / Your:                                         means the consumer / purchaser / ticket holder to the Event.

In consideration for paying the Ticket Price, You are accepting these Terms and Conditions in order to purchase a ticket to enter the Event held at Upton Country Park.

PURCHASE

1.1              In order to make a ticket purchase, You must be 18 years old or more and You must have a valid credit or debit card issued in Your name. You may be asked to present relevant identification upon admission to the event.

1.2              Any purchase from Us is subject to: (i) these Terms and Conditions; (ii) any special terms and conditions stated to be applicable to the Event itself; (iii) the terms and conditions of the Event Management Company; and (iv) any venue terms and conditions (including conditions of entry).

1.3              Your contract for purchase starts once we have confirmed Your order, and ends immediately after completion of the Event date specified on Your ticket.

1.4              All purchases are subject to credit or debit card verification (if applicable), other security checks, and collection of payment by us. Your order may be cancelled if it has not passed our verification process or if payment is not received in full.

1.5              Tickets purchased by You are for personal use only. Unless otherwise agreed by Us, You must not re-sell, seek to re-sell, transfer or seek to transfer any tickets purchased.

1.6              Once You have purchased Your ticket for the relevant time slot, the time slot cannot be changed, amended or transferred unless otherwise agreed by Us. Please carefully check that You have selected the correct time slot before confirming Your order.

1.7              Any children’s ticket purchased for the Event must be purchased alongside an adult ticket. A parent or guardian must supervise and accompany children at all times 

1.8              It is Your responsibility to check Your ticket. If an error has occurred whilst purchasing the ticket, it may not be possible to rectify that error after purchase.

1.9              We reserve the right to cancel any order(s) that We reasonably suspect to have been made fraudulently or otherwise in breach of these Terms and Conditions, without any notice to You, and any tickets obtained as part of such order(s) will be void.

1.10          To prevent fraud and protect Upton Country Park, We reserve the right to carry out checks and/or request that additional information be provided in order to verify purchases.

PRICE AND FEES

2.1       Ticket Prices are clearly stated at the point of sale online. Tickets cannot be exchanged or refunded after purchase, save as for circumstances set out under clause 7.

2.2       In addition to the Ticket Price advertised, We reserve the right to charge an Order Fee of £1.50 which may apply per ticket. Such fees are non-refundable.

DELIVERY OF TICKETS

3.1             Tickets will be provided electronically to You at the point of purchase. Each ticket will be given a unique code which will be scanned upon entry to the Event. You may either bring a paper copy of the ticket with You or an electronic copy on Your mobile phone.

3.2             We reserve the right to make tickets available for collection by You at the venue box office or at another designated ticket collection point in the event there is a system failure in providing electronic tickets. We will publish such information on social media, via Upton Country Park’s website and the BCP Council website. You may be required to provide Your booking confirmation email and Your photo ID to collect tickets, as well as the credit or debit card used to make the order.

3.3             Somtimes a limited number of tickets will be available for purchase on the door of the Event. It will not be possible to purchase tickets more than 24 hours in advance on the door.

TICKET CONDITIONS

4.1    Any ticket You purchase from Us remains the property of the Upton Country Park and is a personal revocable licence which may be withdrawn and admission refused at any time. If this occurs without any act or omission on Your part, You will be refunded for the Ticket Price which has been withdrawn or for which access was refused (excluding any Order Fees).

4.2    Tickets are non-transferrable, please therefore ensure that You arrive at Upton Country Park on time for Your allocated time slot. Late arrivals are unlikely to be accepted, in which case the ticket will become void and no refund will be issued. Early arrivals are not guaranteed admittance until the allocated time slot.

4.3   We are not responsible for any lost, stolen or damaged tickets. We recommend that You do not post pictures of Your tickets online, without having covered the unique code number on Your ticket, as this may allow third parties to counterfeit Your tickets or otherwise compromise the integrity of the tickets.

4.4    Upton Country Park reserves the right to refuse admission to the Event if You exhibit threatening, abusive or anti-social behaviour, You are intoxicated or are behaving in a manner that may compromise health and safety or licensing guidelines.

ADMISSION

5.1    Please note that the advertised start times of the Event are subject to change and tickets are sold subject to Our right to alter or vary the programme of events due to events or circumstances outside of Upton Country Park’s reasonable control without being obliged to refund monies or exchange tickets, unless such change is a material alteration as described in clause 7.3, in which case the provisions of that clause shall apply.

5.2    The Event Management Company and / or Upton Country Park may conduct security searches of You and other patrons for safety and security purposes and/or may refuse admission to patrons breaching or suspected of breaching these Terms and Conditions or any other terms and conditions of the Event.

5.3    Breach of any of venue terms and conditions or any unacceptable behaviour likely to cause damage, nuisance or injury shall entitle the Upton Country Park and / or the Event Management Company to eject You from the venue.

5.4    Upton Country Park and / or the Event Management Company reserve the right to refuse admission to the Event, or to remove any person from the event in order to secure public safety.

5.5    Certain items such as laser pens, weapons, patron’s own food and drink are prohibited from the event.  Dogs (except guide dogs) are also prohibited.

5.6    You are entitled to park at Upton Country Park. Pay and display machines operate in the main car park at all times including at the times of the Event.

5.7    The main Upton Country Park gates close at 6pm in Winter Season and 9pm in Summer Season, unless there is a specifically advertised evening event.

5.8    In accordance with clause 1.7, children must be supervised at all times.

5.9    Upon attending the Event, each child is entitled to receive one gift from Santa (Event Specific). Proposed gift age ranges are suggestions only and We cannot guarantee the products are suitable for all children in the specified age range.

5.10    We will use best endeavours to exchange gifts which are deemed unsuitable e.g. gender specific items, damaged items etc. Exchanging gifts is at the sole discretion of Upton Country Park or the Event Management Company and there is no obligation to offer an exchange.

5.11    Upton Country Park does not accept liability for defective or faulty gifts provided at the Event.

5.12    Upton Country Park does not accept liability for any loss or damage suffered, to include personal injury or death, resulting from the use of the gifts provided by the Event. Children should be supervised whilst playing with gifts at all times.

5.13     By attending the event, You and those in Your party, consent to being filmed and /or recorded and may be featured as members of the crowd in any resulting footage or recordings used by Upton Country Park or the Borough of Poole.

CANCELLATION AND ALTERATION

6.1    You have a 14 day “cooling off” period from the date of purchase to change Your mind and obtain a refund.

6.2    In order to obtain a refund within the 14 day “cooling off” period, You must contact the Upton Country Park Estates Office by telephone on 01202 262753. Please have Your unique ticket code to hand. Once the refund has been processed, the tickets will automatically become void.

6.3    For the avoidance of doubt, tickets will not be refunded after the 14 day “cooling off” period should You change Your mind or cannot attend the event.

6.4    If the Event is cancelled, rescheduled or materially altered, we will publish such information on social media, via Upton Country Park’s website and the BCP Council website. However, We cannot guarantee that You will be informed of such cancellation or alteration before the date of the event. It is Your responsibility to ascertain whether an event has been cancelled or altered and the date and time of any rescheduled event.

6.5    If the Event is rescheduled, We will give You the option to transfer Your ticket to a subsequent date or to claim a refund.

6.6    If the Event is cancelled in its entirety, We will provide You with a refund. Please note that this refund will not include the Order Fee referred to in clause 2.2.

6.7    In the event of a cancellation or change, Upton Country Park cannot be held liable for any additional costs You may have incurred (to include, but not limited to, travel, accommodation etc.) or any other associated losses.

6.8    We will not be liable for any breach of obligations to the extent that any such breach is caused by any act of God, natural flood, fire (save where such fire is due to the negligence or fault of Upton Country House), lightning strike, earthquake, pandemic outbreak of an infectious illness, war, military operations, act of terrorism or riot, but nonetheless Upton Country Park will use reasonable endeavours to perform its obligations.

6.9    Upton Country Park reserves the right to alter the advertised dates, opening hours, scheduled times of the Event, where it is necessary to do so for reasons beyond Our reasonable control.

6.10    Upton Country Park reserves the right to close or remove parts of Santa’s Grotto and / or Walled Garden if deemed necessary to do so for public safety and / or health and safety reasons.

YOUR RIGHTS

7.1    Cancellation

If the Event is cancelled in full (and not rescheduled), You will be offered a refund of the Ticket Price (excluding the Order Fee), plus the relevant Service Charges.

7.2    Alteration / Rescheduling

If the Event is rescheduled or Your allocated time slot is rescheduled, unless otherwise indicated, You will be offered tickets of a value corresponding with Your original tickets for the rescheduled time slow, subject to availability. If You are unable to attend the rescheduled event, You will be able to obtain a refund of the Ticket Price (excluding the Order Fee). Failure to inform Us within any deadline specified by Us that You are unable to attend the rescheduled event will be deemed to be a reconfirmation of Your order for tickets for the rescheduled event, and You will not be entitled to claim a refund.

7.3    Other material alteration

If the Event is "materially altered" (as defined below), other than a rescheduling, You will be offered the option either to reconfirm Your order for the altered event or to cancel Your order. If You cancel Your order, You will be able to obtain a refund of the Sale Price of Your tickets (excluding the Order Fee). Failure to inform us within the deadline specified by us that You wish to cancel Your order in these circumstances will be deemed to be a reconfirmation of Your order for tickets for the altered event, and You will not be entitled to claim a refund.

For the purposes of these Terms and Conditions, a "material alteration" is a change which, in Our and / or the Event Management Company’s reasonable opinion, makes the Event materially different to the Event that purchasers of tickets, taken generally, could reasonably expect. In particular, please note that the following are not deemed to be "material alterations": the use of understudies in theatre performances; adverse weather conditions; changes of any supporting act; changes to individual members of a band; changes to the line-up of any multi-performer event; curtailment of the event where the majority of an event is performed in full; delays to the schedule of events; delays to the start times; change of site within Upton Country Park; lack of live animals at the Event; technical issues regarding third parties on site (e.g. photographers); equipment failure resulting in partial closures to the Event.

LIMITATION OF LIABILITY

8.1  Neither We nor Our relevant Event Management Company will be liable for any loss, injury or damage to any person (including You) or property howsoever caused (including by Us and/or by the Event Management Company):
(a) in any circumstances where there is no breach of contract or a legal duty of care owed by Us or the Event Management Company;
(b) in circumstances where such loss or damage is not directly as a result of any such breach (save for death or personal injury resulting from our negligence); or
(c) to the extent that any increase in any loss or damage results from Your negligence or breach by You of any of the terms of these Terms and Conditions and/or any terms and conditions of the Event Management Company.

8.2    To the maximum extent permitted by law, neither We, nor Our relevant Event Management Company, shall be liable for any indirect, consequential losses or business losses, or any exemplary, special or punitive damages arising from Your purchase. In accordance with this, please note that:
(a) personal arrangements including travel, accommodation, hospitality and other costs and expenses incurred by You relating to the Event which have been arranged by You are at Your own risk, and neither We nor the relevant Event Management Company shall be responsible or liable to You for any wasted expenditure, including where an event has been cancelled, rescheduled or otherwise materially altered; and
(b) neither We nor the relevant Event Management Company shall be responsible or liable to You for any loss of enjoyment or amenity, including where an event has been cancelled, rescheduled or materially altered.

8.3    Unless otherwise stated in this clause 8, Our and any Event Management Company's liability to You in connection with the event (including, but not limited to, for any cancellation, rescheduling or material alteration to the programme of the event) and the ticket You have purchased shall be limited to the price paid by You for the Ticket, excluding any Order Fee.

8.4    Nothing in these Terms and Conditions seeks to exclude or limit Our or any Event Management Company’s liability for death or personal injury caused by Our or any Event Management Company’s negligence, fraud or other type of liability which cannot by law be excluded or limited.

COMMUNICATIONS

9.1    If We need to contact You, We will use Your contact details provided at the time of purchase. It is Your responsibility to inform Us of any changes to Your contact details, both before and after receipt of Tickets. In particular, please ensure that You provide Us with a valid email address as this is Our preferred method of contacting You. You should also be aware that Your email mailbox settings may treat Our emails as junk, so remember to check Your junk and/or spam folders.

DISPUTE RESOLUTION

10.1    If any dispute arises, We shall use our reasonable endeavours to negotiate with You in an attempt to reach settlement with You.

10.2    In the event the parties are unable to settle any dispute by negotiation within 28 days, either party must refer the dispute to mediation. The mediation will be conducted in accordance with the Centre for Effective Dispute Resolution’s (“CEDR”) Model Mediation Procedure.

10.3    To initiate mediation, either party may give notice in writing to the other requiring mediation in accordance with this clause. The initiating party will send a copy of such request to CEDR.

APPLICABLE LAW AND JURISDICTION

11.1    These Terms and Conditions will be governed and interpreted in accordance with English law and will be subject to the jurisdiction of the courts of England.

 

TERMS AND CONDITIONS for £25 donation and Pin Badges:

“BCP Council” means Bournemouth Christchurch and Poole Council;

 “Fee” means sum of £25;

“Other Charges” means any other charges to include, but not limited to, handling fees, card transaction fees etc. associated with the purchase;

“Pin Badge” means the pin badge as advertised at: https://uptoncountrypark.digitickets.co.uk/tickets

“Purchaser” means the member of the public purchasing the Pin Badge.

 “Terms and Conditions” means this document.

Payment

1.    In consideration for payment of the Fee (and Other Charges), the Purchaser agrees to enter into a contract for the purchase of a Pin Badge. All Pin Badge orders are subject to acceptance by BCP Council.

2.   All prices quoted will be subject to VAT at the prevailing rate at the time of delivery. All transactions will be subject to charges for packing and delivery unless otherwise stated.

3.    Prices are shown inclusive of postage and packaging charges

Product Description

 4.    BCP Council will use reasonable endeavours to ensure that Pin Badges listed are as described and displayed accurately.

5.     Pin Badges featured may display different characteristics when viewed on different devices. Images and colours displayed on the website are indicative only and may not be a true representation of the actual colour to be supplied.

 Placing your order on the website

6.    A contract for the purchase of a Pin Badge is created as follows:-

6.1  The Purchaser places the order on the website by clicking an order confirmation button during the checkout phase;

6.2  By confirming the order, the Purchaser agrees to purchase the Pin Badge the Purchaser has selected.

6.3  DigiTickets will send the Purchaser an order acknowledgment by email detailing the order and any other relevant information.

7.    BCP Council may reject an order for the following reasons:-

7.1   where BCP Council or DigiTickets cannot obtain authorisation for the Purchaser’s payment;

7.2    if the Purchaser’s order otherwise breaches any of the requirements of these Terms;

7.3    it appears that the order mistakenly duplicates another order.

If the Purchaser’s order is rejected, BCP Council will contact the Purchaser to confirm this and reverse the payment the Purchaser has made for that order.

Delivery

8.    The estimated delivery time will be 14 days after the purchase is made.

9.     BCP Council will send the Pin Badge to the Purchaser via 2nd Class delivery.

10.  BCP Council shall not be liable for any consequences arising from any reasonable delays for whatever reason.

11.  The Purchaser must advise BCP Council of any faults, errors or shortages within 14 days of delivery.

12.  Full legal title resides with BCP Council until payment is received in full.

Returns and Refunds

13.  Once the Purchaser has made a payment and placed an order, the Purchaser has 14 calendar days in which to request a refund (“Cooling Off Period”). The Purchaser must confirm in writing that they require a refund using the following contact details: uptoncountrypark@bcpcouncil.gov.uk or call 01202 127770.

 14.  In the unlikely event that a Pin Badge is faulty or is damaged in delivery, please contact BCP Council within 14 days using the contact details set out above.

General

15.   These Terms are intended to contain the Purchase entire agreement with us relating to the Services and the Website

16.   If any of these Terms is found to be invalid this shall not affect the validity of the remaining provisions which shall remain fully enforceable.

17.  These Terms will be governed by and interpreted in accordance with English law and will be subject to the jurisdiction of the courts of England.

 

TERMS AND CONDITIONS for Brick on Path of Life:

“BCP Council” means Bournemouth Christchurch and Poole Council;

“Brick” means the brick (measuring 200mm x 100mm x 45mm) paid for and licensed by the Purchaser as part of the Upton Country Park fund raising initiative detailed on: https://uptoncountrypark.com/discovery-project/

 “Fee” means sum of £100 payable per Brick;

“Other Charges” means any other charges to include, but not limited to, handling fees, card transaction fees etc. associated with the purchase;

“Period” 10 years from the date the brick is put in place.

“Purchaser” means the member of the public purchasing the Brick.

“Site” means Upton Country Park walled garden borders.

“Terms and Conditions”  means this document.

Payment

1.     In consideration for payment of the Fee (and Other Charges), the Purchaser will obtain the right to have text of their choice, subject to clause 8, engraved onto a Brick which will be laid at the Site.

2.     The Fee includes a contribution towards any maintenance during the Period.

3.     BCP Council will retain ownership of the Brick at all times. The Purchaser grants BCP Council an irrecoverable licence to use the Brick in accordance with the Terms and Conditions for the Period.

4.     Once the Purchaser has made a payment and placed an order, the Purchaser has 14 calendar days in which to request a refund (“Cooling Off Period”). The Purchaser must confirm in writing that they require a refund using the following contact details:- uptoncountrypark@bcpcouncil.gov.uk

5.     After the Cooling Off Period has expired, due to the bespoke nature of the Brick, the Purchaser will not be entitled to a refund.

Placing the Order

 6.     At the point of purchase the Purchaser will be asked to provide information as to the text to be engraved on the Brick. Each Brick can accommodate up to 32 characters over 2 lines (16 characters per line) and the Purchaser can select any name or message of their choice.

7.     The Purchaser must ensure the spelling and grammar of the text is correct at the point of submission. BCP Council will not be liable for any errors contained within the engraved text for which the Purchaser is responsible for providing.

8.     All proposed names and / or messages will be vetted by BCP Council once each purchase is submitted. BCP Council will not check for spelling or grammatical errors. Any messages deemed to be offensive, inappropriate, in bad taste (to be determined at the sole discretion of BCP Council) or exceed the maximum number of characters will be rejected. You will receive an email from BCP Council advising you of any rejected messages.

9.     Upon receipt of a purchase, BCP Council will pass the details of the name and / or message to a third party who will engrave the Bricks on a quarterly basis. Bricks will be laid at the end of each quarter. Purchaser’s must therefore expect a delay between purchase and the Brick being laid at the Site. You will receive notification via email inform you of the date your brick will be added to the Site.

 Maintenance

10.  BCP Council will use reasonable endeavours to maintain the brick in a good condition throughout the duration of the Period.

11.  BCP Council is not liable to replace any bricks which become damaged (either intentionally or through fair wear and tear) or stolen whilst in situ.

12.  Without prejudice to the above, BCP Council retains the right to repair, replace or remove the bricks at its sole discretion and without notice.

13.  BCP Council reserves its rights to remove the bricks and move them to a new location should it be deemed necessary to do so. Notification of removal and / or relocation will be via noticeboards at the Site welcome centre.

14.  By proceeding with the purchase, the Purchaser is deemed to have read and accepted these Terms and Conditions.

 

TERMS AND CONDITIONS for becoming a Park Patron:

“BCP Council”                           means Bournemouth Christchurch and Poole Council;

 “Fee”                                        means sum of £250;

“Other Charges”                         means any other charges to include, but not limited to, handling fees, card transaction fees etc. associated with the purchase;

“Corporate Offer”                       means an offer of the following:-

·         Recognition in the form of Welcome Centre Plaque at the Site for a period of 10 years; and

·         Weblink and logo on uptoncountrypark.com for a period of three years; and

·         A certificate; and

·         One Facebook post on https://www.facebook.com/uptoncountrypark/

 “Purchaser”                              means the company or partnership purchasing the Corporate Offer

“Site”                                       means the Welcome Centre at Upton Country Park;

 “Terms and Conditions” means this document;

“Working Days”                         means any day that is not a Saturday, Sunday, Christmas Day, Good Friday or any day that is a bank holiday.

Payment

18.  In consideration for payment of the Fee (and Other Charges), the Purchaser agrees to enter into a contract for the purchase Corporate Offer. All Corporate Offer purchases are subject to acceptance by BCP Council.

19.  All prices quoted will be subject to VAT at the prevailing rate at the time of purchase. All transactions will be subject to charges for packing and delivery unless otherwise stated.

20.  Prices are shown inclusive of postage and packaging charges

Placing your order on the website

21.  A contract for the purchase of Corporate Offer is created as follows:-

21.1        The Purchaser places the order on the Digitickets website by clicking an order confirmation button during the checkout phase;

21.2        By confirming the order, the Purchaser agrees to purchase the Corporate Offer that the Purchaser has selected.

21.3        DigiTickets will send the Purchaser a purchase acknowledgment by email detailing the purchase and any other relevant information.

22.  BCP Council may reject an order for the following reasons:-

22.1        where BCP Council or DigiTickets cannot obtain authorisation for the Purchaser’s payment;

22.2        if the Purchaser’s order otherwise breaches any of the requirements of these Terms;

22.3        it appears that the order mistakenly duplicates another order;

22.4        if Upon reviewing the Purchaser’s own website, BCP Council identifies that it contains unsuitable content or content in breach of BCP Council’s own policies which cannot be promoted by BCP Council.

I the Purchaser’s purchase is rejected, BCP Council will contact the Purchaser to confirm this and reverse the payment the Purchaser has made for that order.

Certificate Delivery

23.  The estimated delivery time will be within 14 Working Days after the purchase is made.

24.  BCP Council will send the certificate to the Purchaser via 2nd Class delivery.

25.  BCP Council shall not be liable for any consequences arising from any reasonable delays for whatever reason.

26.  The Purchaser must advise BCP Council of any faults or errors with the certificate within 14 days of delivery.

Facebook Post

27.  BCP Council will endeavour to publish one Facebook post regarding the  purchase of the Corporate Offer within 14 Working Days of the purchase being made.

28.   The wording of the Facebook post will read as follows:-

 “A big thank you to ‘Business name’ who have donated £250 to the Discovery Project as part of our fundraising bid to the National Lottery Heritage Fund. We are very grateful for the support.”

29.  By proceeding with the purchase, the Purchaser is deemed to have consented to the above Facebook post wording. In the event the Purchaser wishes to propose an amendment to the Facebook post wording, they must contact BCP Council using the details at clause 20 within 24 hours of the purchase.

Logo / Link Upload

30.   Within 14 days of the purchase, the Purchaser must provide BCP Council with a copy of its logo (in JPEG. Format) and link which will be published on the Discovery Project webpage. Provision of the logo to BCP Council will be deemed consent from the Purchaser that BCP Council can use the Purchaser’s logo for the purpose of publishing it on the Discovery Project webpage.

31.  Subject to BCP Council vetting the Purchaser’s website for unsuitable content, BCP Council will endeavour to publish the Purchaser’s logo and link on the Discovery Project webpage within 14 Working Days of receiving the information at clause 13.

32.   The Purchaser’s logo and link will remain on the Discovery Project website for a period of three years subject to clause 16.

33.  BCP Council will continue to monitor the Purchaser’s website on a three monthly basis to ensure that the content remains suitable and complies with BCP Council’s policies. In the event BCP Council considers that the Purchaser’s website contains unsuitable content, the Purchaser’s logo and link will immediately be removed from the Discovery Project webpage. The Purchaser will be notified thereafter.

34.  If the Purchaser requires its logo and / or link to be removed from the Discovery Project website, it must notify BCP Council in writing using the contact details at clause 20. BCP Council will endeavour to remove the Purchaser’s logo and / or link within 14 Working Days of receiving written correspondence from the Purchaser.

35.   BCP Council acknowledges that it obtains no intellectual property rights in the logo provided by the Purchaser and that the logo remains the sole property of the Purchaser at all times. The Purchaser is deemed to provide BCP Council with a revocable licence to use the logo for the purposes set out in these Terms and Conditions.

36.  The Purchaser will indemnify BCP Council for any claims, costs, fines, penalties or other losses incurred as a result of being affiliated with and using the Purchaser’s logo on the Discovery Project webpage.

Refunds

37.  Once the Purchaser has made a payment for the Corporate Offer, the Purchaser has 14 calendar days in which to request a refund (“Cooling Off Period”). The Purchaser must confirm in writing that they require a Cooling Off Period refund using the following contact details:- uptoncountrypark@bcpcouncil.com or call 01202 262753

38.  No refunds will be considered after the Cooling Off Period.

39.   In the event the Purchaser’s logo and link are removed pursuant to clause 16, the Purchaser will not be entitled to a refund of the Fee or a proportion of the Fee and other charges.

General

40.   These Terms are intended to contain the Corporate Offer purchase entire agreement between the Purchaser and BCP Council.

41.   If any of these Terms is found to be invalid this shall not affect the validity of the remaining provisions which shall remain fully enforceable.

42.  These Terms will be governed by and interpreted in accordance with English law and will be subject to the jurisdiction of the courts of England.
